The parties hereto understand that neither of them has authority to bind the other in any contractual arrangement with any third party.

All project-based data, personal data which is sent to www.seotask.in concerning a project or your personal details will be treated as personal/confidential by www.seotask.in officers/employees.
Client’s Obligations and company disclosure henceforth with;
During the engagement, the Client shall provide the Company any information reasonably requested by the Company in a timely manner. The client will be responsible for registering the Website’s domain name, choosing the Web hosting company, and paying any fees associated with these. Client is also responsible for any other fees associated with the project. The client will also be responsible to get outside services done in a timely manner that is related to the current project with the Company. LINK BUILDING RISKS
Customer must acknowledge the following with respect to SEO and link building services: All link building involves a degree of risk. The Company has no control over the policies of search engines. If a search engine algorithm devalues, filters, or penalizes a client site in any way due to link building to the Customer’s website(s), the Customer agrees to indemnify and hold harmless the company, its officers, owners, agents, and/or employees. The Company has no relationship with Google, Yahoo, or Bing and has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Customer’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory. Occasionally, search engines will drop or reduce listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within 30 days of campaign removal, the Company will work with the customer to re-optimize the website/page based on the current policies of the search engine in question. Linking to “bad neighborhoods” can seriously damage all SEO efforts. The Company does not assume liability for the Customer’s choice to link to or obtain a link from any particular website without prior consultation. The Company is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Customer’s website.
Approvals & Modifications
www.seotask.in has a structured and systematic approach towards SEO, SMO, PPC, Web Design and Development of a system. Client approval is an integral process in the completion of each element of the project. Such approvals are derived from the clients on a regular basis. During the course of SEO, SMO, PPC or design or development stage if the client fails to respond to give feedback to the company within 10 days for any queries, work executed, etc…, the company will put the project on hold and will switch over the Internet engineers, designers/developers/team working on the client’s project to another company project. If the client wants to resume a project which is on hold, the company reserves the right to revise the quote and the timeline to accomplish the work. Change in approved elements of the system at a later stage may cause modular changes in the design, which may be charged additionally.
Span of Engagement
The Engagement shall commence on the Effective Date which will be the day on which the quote is sent to the client and shall end on End Date derived from adding the number of days stated by www.seotask.in during the project estimation stage, Timeline and Fees, subsection Expected Time Duration, to Effective Date, unless earlier terminated in accordance with termination clause stated below. Scope of the span is limited to the condition that all the content related to the project should be provided in advance and the Client will correspond Company regarding project-related queries in a timely manner. Modification in requirements can change the span of engagement depending on the change requested and not limited to any extent.
Payment Terms
Fee for Services
In consideration for the Services, and for the duration of the Term, the Client shall pay the Company a service fee equal to System Cost given by www.seotask.in to the client. If the scope of the specifications or project is changed after agreeing to the project, the compensation can be increased as per negotiation between the Client and the Company.
The Customer will pay to the Company the Charges in respect of the Services, which will be equal to the sum listed as a monthly retainer in the schedule. The Company will ensure that the Charges in respect of the Services provided in any period do not exceed the budget specified in the Schedule in respect of that period. The Company will issue invoices to the Customer in respect of Charges for the Services monthly in advance on the 1st day of each calendar month during the Term. The Customer will pay the Charges to www.seotask.in web services within 7 days of the date of [issue/receipt] of an invoice issued in accordance with Clause. All Charges stated in or in relation to this Agreement are stated exclusive of VAT, unless the context requires otherwise. Charges must be paid by [debit or credit card, PayPal, direct debit, Wire Payment/bank transfer or by cheque (using such payment details are notified www.seotask.in to the Customer from time to time)]. The Company will ensure that the person providing the Services complete records of all links built retain such records and evidence during the Term and for a period of [12 months] following the end of the Term, and supply such records and evidence to the Customer within 10 Business Days following receipt of a written request to do so.

Schedule of Payment
The client agrees to follow the Schedule of Payment given at the time of estimation. The Company shall have no obligations under this Agreement, including its obligation to commence the Services, until and unless it receives “good funds” equal to the advance Deposit.
Late Payment
Any and all amounts owed to the Company by Client hereunder that are not paid when due shall, at the Company’s sole option, accrue interest at the rate of twelve percent (18%) per annum, calculated from the date on which such amount was due.
Maintenance and Hourly Rate
The client accepts that www.seotask.in will do minor webpage maintenance or bug encountered while using the system in the first two weeks to regular SEO Ranking work/ Blogs / Social networking advertising / WebPages after the website or the system is made LIVE on the server, including updating links and making minor changes to a sentence or paragraph. It does not include removing nearly all the text from a page and replacing it with new text. If the client or an agent other than www.seotask.in attempts updating the client’s pages, time to repair WebPages, in process of SEO Ranking, SMO, PPC results will be assessed at the hourly rate and is not included as part of the updating time. The two-week maintenance period commences upon the date the client’s system is officially published to the web, regardless of any other ongoing work. Changes requested by the client beyond those limits will be billed at the hourly rate. This rate shall also govern additional work authorized beyond the maximums specified above for such services as general Internet orientation education, SEO, SMO, internet marketing consulting, webpage design, editing, modifying product pages and databases in an online store, and art, photo, graphics services, and helping Client or their agents learn how to use their own webpage editor. Complex technology-specific programming charges (if any) are not included in this rate.
Additional Expenses
The cost given in this proposal is only for the services provided by www.seotask.in which does not include any other cost like Domain, Hosting or third party component cost, data entry. If any outside component or service out of scope would require for the project either the client will pay extra cost to www.seotask.in or the client will buy the component or services to implement and use in the project.
Termination
The contract is for a minimum 180 days term and notices given would mean that the contract terminates at the end of the 180 day period the notice is received in. Either party may terminate this Agreement at any time by giving at least 15 days written notice with the contract ending on the last day of the end of the current 180 day period the notice is given in Consequences of Termination – Upon termination, each party will immediately (1) return to the other Party all confidential information belonging to the other party that is in physical form and (2) obliterate or erase any and all other confidential information of the other Party that is not in physical form.
Early Termination
In the case of early termination, the client shall reimburse the Company for any and all costs and expenses incurred by the Company under this Agreement till the date of termination, including but not limited to, any and all advances made by the Company to the third parties on behalf of the Client. The client agrees to pay Company for the work done to date.
Intellectual Property Rights
The Client represents to www.seotask.in unconditionally guarantees that any elements of copy, images, related graphics, designs, trademarks, third party logos, SEO Keywords, SMO, PPC navigation or other artwork provided to www.seotask.in for inclusion in the website or web-based systems are owned by the Client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend the Company and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client. This website is provided by www.seotask.in as registered domain www.seotask.in and may be used for informational purposes only. By using the site or downloading the Materials from the site, you agree to abide by the terms and conditions set forth in this notice. Upon successful completion of this contract, the client is assigned rights to use as a website or web-based system, the design, graphics, and copy contained in the finished assembled system. Rights to images, graphics, source code, work-up files, and computer programs are specifically not transferred to the client and remain the property of their respective owners. www.seotask.in retains the right to display graphics and other design or system elements as illustrations of their work in their respective portfolios. You shall not post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane, or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, state, national, or international law, or infringe upon another’s copyright or trademark. We recommend using a VPN connection to transfer data to and from our place. This ensures the security in the transportation of data. We will also make sure that the network used by a product team is independent of the rest of the computing network to avoid any internal leakages. All the electronic material is protected by access-level passwords. Even, the printed physical copies of such material are secured and not allowed out of the facility.
Approval
It will be ensured by the client that all the approvals are done within 3 days of the delivery of the intermediate deliverables. Change Request
Any changes in the scope, designing or flow of work or change SEO’s Keywords in not expected during the course of the project life cycle. If the client wishes to have any modification or change in the live project, additional efforts would be considered as a separate project and a billable amount will be charged extra. Any change request is accepted from the client via email or in writing. On change request www.seotask.in do not guarantee project completion within the expected time.
Warranty
www.seotask.in will provide a 15days warranty for the deployed software/website/application/ SEO Ranking. The warranty period will commence from the date of delivery of the web design / SEO Ranking to your organization or when the website or the application is made LIVE on the server and SEO optimize its ranking in search engine. The warranty will be limited to the correction of any bugs or errors detected in the software, SEO Analytical tools. The scope and the terms shall be mutually agreed upon at such time. - it can take many months for the Organic Search to have any significant effects upon the ranking of a Website in the search engine results pages;
- Link Building is an ongoing task and, should the Customer terminate this Agreement and/or stop promoting the Website, that would be likely to have a negative impact upon the effects of the Services;
- seotask.in will not be responsible for any alterations to the Website made by the Customer or any third party that reverse or effect changes made to the Website by www.seotask.in as part of the Services;
- The promotion of the Website may lead to higher traffic levels and bandwidth requirements for the Website and the Customer will be responsible for arranging and paying for such requirements; and
- Notwithstanding the Services, the Website’s search engine results page rankings and traffic levels may decrease as well as increase.
The Company does not warrant that any particular results will be achieved through SEO. Where www.seotask.in indicates specific targets that it will attempt to meet through the provision of the Services, such targets are not warranted and a failure to meet such targets will not be a breach of the Agreement.
All of the parties’ liabilities and obligations in respect of the subject matter of this Agreement are expressly set out in the terms of this Agreement. To the maximum extent permitted by applicable law, no other terms concerning the subject matter of this Agreement will be implied into this Agreement or any related contract.
The Company does not warrant that any particular results will be achieved through SEO. Where www.seotask.in indicates specific targets that it will attempt to meet through the provision of the Services, such targets are not warranted and a failure to meet such targets will not be a breach of the Agreement.
All of the parties’ liabilities and obligations in respect of the subject matter of this Agreement are expressly set out in the terms of this Agreement. To the maximum extent permitted by applicable law, no other terms concerning the subject matter of this Agreement will be implied into this Agreement or any related contract.
